Welcome, and thank you for your interest in CreatorFrames.com, Creator Frames, a service of Silent Co LLC (“Creator Frames,” “we,” or “us”) and our website at www.creatorframes.com, along with our related websites, hosted applications, mobile or other downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Creator Frames regarding your use of the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING CREATOR FRAMES’S PRIVACY POLICY (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND CREATOR FRAMES’S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY CREATOR FRAMES AND BY YOU TO BE BOUND BY THESE TERMS.

ARBITRATION NOTICE

EXCEPT FOR CERTAIN KINDS OF DISPUTES DESCRIBED IN SECTION 18 (DISPUTE RESOLUTION AND ARBITRATION), YOU AGREE THAT DISPUTES ARISING UNDER THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND BY ACCEPTING THESE TERMS, YOU AND CREATOR FRAMES ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Creator Frames Service Overview

Creator Frames is a platform designed to boost the creation and exploration of AI models and AI-generated media. We offer an environment where users of the Service (“Users”) may be able to generate images (“Generated Images”) on the Service, as well as upload, share, and discover custom machine learning models (“Models”) that have been trained on distinct datasets to generate art or media in a specific style.

Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that:

  • (a) you are at least 18 years old;
  • (b) you have not previously been suspended or removed from the Service; and
  • (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

Accounts and Registration

To access most features of the Service, you must register for an account, whether directly or through a third party integration (“Account”). When you register for an Account, you may be required to provide us with some information about yourself, such as your name, username, email address, or other contact information. You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your Account and password, and you accept responsibility for all activities that occur under your Account. If you believe that your Account is no longer secure, then you should immediately notify us at support@creatorframes.com.

Buzz

Creator Frames may offer and accept on-platform points (“Buzz”). In addition to these Terms, your use of Buzz is subject to the Buzz Terms and Conditions, which are incorporated into these Terms by this reference.

General Payment Terms

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Unless otherwise specifically provided for in these Terms, all fees are in U.S. Dollars or Buzz and are non-refundable, except as required by law.

5.1 Price

Creator Frames reserves the right to determine pricing for the Service. Creator Frames will make reasonable efforts to keep pricing information published on the Service up to date. We encourage you to check our pricing page(s) periodically for current pricing information. Creator Frames may change the fees for any feature of the Service, including additional fees or charges, if Creator Frames gives you advance notice of changes before they apply. Creator Frames, at its sole discretion, may make promotional offers with different features and different pricing to any of Creator Frames’s customers. These promotional offers, unless made to you, will not apply to you.

5.2 Monetization of Creator Content

As a creator (“Creator”), you may make your User Content (defined below) available to other Users for purchase, for example, on a one-time basis or on a subscription basis. You may determine the pricing and/or subscription tiers for your offerings at your discretion. All purchase prices will be as stated. In order to satisfy our tax obligations, we may collect tax identification information and, in certain circumstances, report this information and earnings to tax authorities as legally required. If required by applicable law, Creator Frames will issue you a Form 1099-K at year end. For purposes of Forms 1099-K, Creator Frames will treat all Creator earnings as earned for the sales of goods or services. In such circumstances, you will provide us with accurate tax identification information, and we may report this information and earnings to tax authorities as legally required. You are responsible for reporting any income, withholding, or other earnings-based taxes which may be due as a result of money you’ve earned on Creator Frames. We may be responsible for a number of transactional taxes across the world. These include, but are not limited to, Value Added Tax, Goods and Services Tax and other local service or sales taxes in non-US locations, as well as state sales tax in the United States. In locales where we are required to collect transaction tax, invoices presented to and payments processed from will include the tier or custom payment amount plus the applicable tax.

5.3 Purchase of Creator Content

If you purchase any offerings of Creators through the Service, you agree to pay on a one-time or subscription basis as specified by the Creators. You agree that Creators have the right to determine pricing and/or subscription tiers for their offerings and may adjust such from time to time at their discretion. You are solely responsible for ensuring that you have sufficient Buzz in your Account for your purchase(s) and agree that your purchase(s) may be denied or canceled in the event that your Account balance is insufficient. If any User Content or channels are offered on a subscription basis, they will be subject to Section 5.7 below.

5.4 Refund

As a customer, you are eligible for a refund in the following situations:

  • Recurring Technical Problems: If ongoing technical difficulties hinder your use of the platform.
  • Failure to Receive Buzz: If Buzz you've purchased isn't received or added to your account due to technical issues.
  • Flawed Resource: If digital products you've trained are substantially flawed beyond what could be reasonably attributed to user error.

Refunds for expenditures on 3rd party services hosted via API on Creator Frames will only be granted if Creator Frames can secure a refund from the respective service provider. Please note that not all API services permit refunds, and Creator Frames’s ability to issue a refund is contingent on this limitation.

Creator Frames retains the right to refuse a refund in the following cases:

  • You were muted or removed from the platform for breaking content guidelines.
  • You are unable to achieve desired results through no technical fault of the platform.
  • You have changed your mind.

Creator Frames will grant you a refund if any User Content you purchased through the Service was removed or taken down from the Service by us or by the Creator in compliance with applicable requirements under the Digital Millennium Copyright Act. Refunds will be given in Buzz for platform services and credited to your account upon request or within a reasonable time.

5.5 Payment Processing

Creator Frames may contract with a third party to process payments submitted through the Service (the “Payment Processor”). Users may be required to provide their payment method details to the Payment Processor. Before you pay for Buzz through the Payment Processor, you will have an opportunity to review the amounts that you will be charged.

5.6 Authorization

You authorize Creator Frames to charge all sums for the orders or purchases that you make and any level of Service you select as described in these Terms or published by Creator Frames, including all applicable taxes, to the payment method specified in your Account or otherwise provided to us. If you pay any fees with a credit card, then Creator Frames may seek pre-authorization of your credit card account prior to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.

5.7 Subscription Service

You may be able to subscribe to certain channels or subscription-based plans offered by Creators or by us through the Service, with automatically recurring payments for periodic charges (“Subscription Service”). The “Subscription Billing Date” is the date when you purchase your first subscription to the Subscription Service. The Subscription Service will begin on the Subscription Billing Date and continue for the subscription period that you select (such period, the “Initial Subscription Period”), and will automatically renew for successive periods of the same duration as the Initial Subscription Period (the Initial Subscription Period and each such renewal period, each a “Subscription Period”) unless you cancel the Subscription Service, or the Creator or we terminate it. If you activate a Subscription Service, then you authorize Creator Frames or the Payment Processor to periodically charge, on a going-forward basis and until cancellation of the Subscription Service, all accrued sums (in Buzz or in another currency) on or before the payment due date. Your Account will be charged automatically on the Subscription Billing Date and thereafter on the renewal date of your Subscription Service for all applicable fees and taxes for the next Subscription Period. You must cancel your Subscription Service before it renews in order to avoid billing of the next periodic Subscription Fee to your account. Creator Frames or Payment Processor will bill the periodic Subscription Fee to the payment method associated with your Account or that you otherwise provide to us. You may cancel the Subscription Service by following the instructions in your Account or contacting us at support@creatorframes.com. YOUR CANCELLATION MUST BE RECEIVED BEFORE THE RENEWAL DATE IN ORDER TO AVOID CHARGE FOR THE NEXT SUBSCRIPTION PERIOD.

5.8 Delinquent Accounts

Creator Frames may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees. If your payment method is no longer valid at the time a renewal Subscription Fee is due, then Creator Frames reserves the right to delete your account and any information or User Content (defined below) associated with your Account without any liability to you.

Licenses
6.1 Limited License

Subject to your complete and ongoing compliance with these Terms, Creator Frames grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one object code copy of any mobile or other downloadable application associated with the Service on a mobile device that you own or control; and (b) access and use the Service.

6.2 License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of the Service; (b) make modifications to the Service; or (c) interfere with or circumvent any feature of the Service, including any security or access control mechanism. If you are prohibited under applicable law from using the Service, then you may not use it.

6.3 Feedback

If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Service (“Feedback”), then you hereby grant Creator Frames an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose. We will have no obligation to provide you with attribution for any Feedback you provide to us.

Ownership; Proprietary Rights

The Service is owned and operated by Creator Frames. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service provided by Creator Frames (“Materials”) are protected by intellectual property and other laws. “Materials” does not include any User Content Posted by you or other Users. All Materials are the property of Creator Frames or its third-party licensors. Except as expressly authorized by Creator Frames, you may not make use of the Materials. There are no implied licenses in these Terms and Creator Frames reserves all rights not granted expressly in these Terms.

Third-Party Terms
8.1 Third-Party Services and Linked Websites

Creator Frames may provide tools that enable you to export information, including User Content, to third-party services, including through features that allow you to link your Account with a third-party account, or through third-party buttons (such as “like” or “share”). By using one of these tools, you authorize Creator Frames to transfer that information. Third-party services and linked websites are not under Creator Frames’s control, and we are not responsible for their content or use of your data.

8.2 Third-Party Software

The Service may include or incorporate third-party software components (“Third-Party Components”) provided under their own licenses. Nothing in these Terms prevents you from obtaining Third-Party Components under their applicable third-party licenses or from using them under those licenses.

User Content
9.1 User Content Generally

Certain features may permit Users to submit content to the Service, including reviews, photos, video, audio, images, Models, Generated Images, algorithms, data, text, and any other works (“User Content”). You retain any copyright and other proprietary rights in your User Content, subject to the licenses granted below.

9.2 Limited License Grant to Creator Frames

By Posting User Content, you grant Creator Frames a worldwide, non-exclusive, irrevocable, royalty-free, fully paid license to host, store, transfer, display, reproduce, modify for formatting, create derivative works, and distribute your User Content in any media formats and through any media channels.

9.3 You Must Have Rights to the Content You Post

You must not Post User Content if you are not the owner or fully authorized to grant all rights set forth in these Terms. By providing User Content, you represent and warrant that:

  • (a) you are the creator or have necessary rights and permissions;
  • (b) your User Content does not infringe third-party rights or laws;
  • (c) your User Content is not objectionable or unlawful.
9.4 Bespoke License for Models

You may choose to license your Models under bespoke license terms (“Bespoke License”). If you use Models Posted by others, you agree to the applicable Bespoke License. Violation may result in suspension or termination of your Account.

9.5 User Content Disclaimer

We are under no obligation to edit or control User Content and disclaim liability. We may remove or block any User Content at our discretion. You understand that you may be exposed to inaccurate or objectionable content and you waive any legal remedy against Creator Frames.

9.6 Content Moderation

Creator Frames does not control or monitor User Content, but reserves the right to do so. Moderators may flag and remove content in violation of these Terms. We do not permit infringing activities and may block or disable access to infringing content.

9.7 Reporting and Appeals

You are encouraged to report inappropriate User Content. We may suspend or terminate accounts for repeat violations. You may appeal moderation decisions through our Appeal Form.

Communications
10.1 Push Notifications

When you install our app, you agree to receive push notifications. You can disable them in your device settings.

10.2 Email

We may send you emails about our products and services. You may opt out of promotional emails via the unsubscribe link.

Prohibited Conduct

BY USING THE SERVICE, YOU AGREE NOT TO:

  • 11.1 use the Service for illegal purposes;
  • 11.2 harass or harm other Users;
  • 11.3 infringe third-party rights;
  • 11.4 use automated tools to access the Service;
  • 11.5 interfere with security features;
  • 11.6 disrupt the Service or its users;
  • 11.7 perform fraud or impersonation;
  • 11.8 create multiple accounts to gain unfair advantage;
  • 11.9 use bots or scripts to manipulate statistics;
  • 11.10 transfer your access rights;
  • 11.11 assist others in prohibited acts.
Intellectual Property Rights Protection
12.1 Respect of Third Party Rights

Creator Frames respects intellectual property rights and asks Users to do the same.

12.2 DMCA Notification

We comply with the DMCA. Send notices to:

12.3 Procedure for Reporting Claimed Infringement

Send a Notification of Claimed Infringement containing the required elements under 17 U.S.C. § 512(c).

12.4 Repeat Infringers

We terminate accounts of repeat infringers.

12.5 Counter Notification

If you receive a DMCA takedown notice, you may submit a Counter Notification under 17 U.S.C. § 512(g).

12.6 Reposting of Content Subject to a Counter Notification

We will replace removed content after 10–14 business days unless we receive notice of a court action.

12.7 False Notifications of Claimed Infringement or Counter Notifications

Misrepresentation under § 512(f) may result in liability for damages.

Modification of Terms

We may change these Terms from time to time. Revisions are effective immediately except for existing Users, where material revisions take effect 30 days after posting or notice. If you do not agree, discontinue use of the Service.

Term, Termination, and Modification of the Service
14.1 Term

These Terms are effective when you accept them and continue until terminated.

14.2 Termination

Your authorization to access the Service and these Terms automatically terminate if you violate them. We may suspend or terminate access at any time for any reason without liability.

14.3 Effect of Termination

Upon termination, your license rights end, you must cease use, pay unpaid amounts, and Sections 6.3, 7, 14.3, 15, 16, 17, 18, and 19 survive.

14.4 Modification of the Service

We may modify or discontinue any portion of the Service at any time without notice or liability.

Indemnity

To the fullest extent permitted by law, you will defend and indemnify Creator Frames and its affiliates from any claim arising out of your use of the Service, your violation of these Terms, or any third-party rights.

Disclaimers; No Warranties by Creator Frames
16.1

THE SERVICE AND ALL MATERIALS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CREATOR FRAMES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16.2

NO ORAL OR WRITTEN INFORMATION WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

16.3

THE LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of Liability
17.1

IN NO EVENT WILL CREATOR FRAMES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

17.2

AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF: (A) AMOUNTS PAID TO CREATOR FRAMES IN THE PRIOR 12 MONTHS; OR (B) US$100.

17.3

THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND SURVIVE EVEN IF A LIMITED REMEDY FAILS ITS ESSENTIAL PURPOSE.

Dispute Resolution and Arbitration
18.1 Generally

Except as in Section 18.2 and 18.3, all disputes will be resolved by binding arbitration under the Federal Arbitration Act and AAA Rules.

18.2 Exceptions

Parties may bring individual actions in small claims court, seek agency enforcement, injunctive relief in court, or IP infringement claims in court.

18.3 Opt-Out

You may opt out of arbitration within 30 days by sending written notice to:

18.4 Arbitrator

Arbitration is administered by the AAA under its Consumer Arbitration Rules, as modified by these Terms.

18.5 Commencing Arbitration

Must send a Notice of Arbitration by certified mail to the address above. If no resolution within 30 days, you may commence arbitration. Filing fees are governed by AAA Rules.

18.6 Arbitration Proceedings

Hearing location is your county of residence; for claims ≤ $10,000, you may choose documents-only, telephonic/video, or in-person.

18.7 Arbitration Relief

Arbitrator may award any relief available in court. If award exceeds our last offer, we pay the higher of the award or $10,000.

18.8 No Class Actions

Claims must be brought in individual capacity; no class or representative proceedings.

18.9 Modifications to Arbitration Provision

If we change this section substantively, you may reject within 30 days, terminating your account.

18.10 Enforceability

If Section 18.8 or this section is unenforceable, or you opt out, then Section 19.2 governing law applies.

Miscellaneous
19.1 General Terms

These Terms, Privacy Policy, and other incorporated agreements are the entire understanding between you and Creator Frames. Neither party may assign without consent. Waivers must be in writing. If any part is invalid, the rest remain in effect.

19.2 Governing Law

These Terms are governed by Delaware law without conflict principles. You and Creator Frames submit to the courts in Kent County, Delaware for lawsuits.

19.3 Privacy Policy

See Creator Frames Privacy Policy for details on data collection and use.

19.4 Additional Terms

Additional posted policies or guidelines are incorporated by reference.

19.5 Consent to Electronic Communications

By using the Service, you consent to receive electronic communications that satisfy legal requirements.

19.8 No Support

We are under no obligation to provide support. Any offered support is subject to our policies.

19.9 International Use

The Service is intended for U.S. visitors. Access from prohibited locations is forbidden.

19.10 Notice Regarding Apple

This section applies only to iOS users. These Terms are between you and Creator Frames, not Apple. Apple is not responsible for the Service. Warranty claims go through Apple only for App Store purchases. Apple is a third-party beneficiary of these Terms.
